1. About These Terms

These Terms and Conditions govern your use of the website at siamnexu.info and the consulting services offered by Siam Nexus, a practice registered and operating from 142 Sukhumvit Soi 21, Asoke, Watthana, Bangkok 10110, Thailand ("Siam Nexus", "we", "us", "our").

By accessing the website or entering into a consulting engagement with us, you indicate that you have read and understood these terms. If any part is unclear, we welcome questions before you proceed.

We do not make commitments as to particular outcomes, and the results of any engagement will depend on factors that include your organisation's circumstances, the quality of information provided, and decisions made by your leadership team.

4. Fees and Payment

Fees for our services are set out in the relevant engagement letter. Unless otherwise agreed:

• Fees are quoted and payable in Thai Baht (THB)
• Invoices are issued at the intervals specified in the engagement letter
• Payment is due within 14 days of the invoice date
• Late payment may attract a reasonable administration charge, as specified in the engagement letter
• All fees are exclusive of applicable taxes unless stated otherwise

If the scope of an engagement expands beyond what was initially agreed, we will discuss this with you before proceeding with additional work, and any adjustment to fees will be confirmed in writing.

5. Confidentiality

We take the confidentiality of client information seriously. We will not disclose information shared with us during an engagement to third parties without your consent, except where we are required to do so by law or regulation.

Equally, we ask that proprietary methodologies, frameworks, and working documents shared by us in the course of an engagement be treated as confidential and not reproduced or shared externally without our agreement.

Specific confidentiality arrangements may be formalised in a non-disclosure agreement if appropriate to the engagement.

6. Intellectual Property

All content on this website, including text, design, and structure, is the property of Siam Nexus and is protected by applicable intellectual property laws. Written deliverables produced under an engagement become the property of the client upon payment of all applicable fees, unless the engagement letter specifies otherwise.

We retain ownership of general methodologies, frameworks, and approaches developed independently or prior to the engagement. We may reference the nature of work done (without identifying the client) for illustrative purposes unless you have asked us not to.

7. Limitation of Liability

To the extent permitted by law, Siam Nexus's liability for any claim arising from the use of this website or from a consulting engagement will not exceed the total fees paid by the client for the engagement in question.

We are not liable for indirect, consequential, or incidental losses, including loss of revenue, loss of data, or loss of business opportunity, even where we were aware that such losses might result. This limitation does not affect any rights you may have that cannot be excluded under Thai law.

8. Cancellation and Withdrawal

Either party may withdraw from a consulting engagement by giving written notice. Where Siam Nexus withdraws without cause, fees for work not yet completed will not be due. Where a client withdraws:

• Fees for work completed up to the withdrawal date will remain payable
• If a deposit or advance payment was made, the portion covering completed work will be retained
• Specific cancellation provisions may be set out in the engagement letter

If a scheduled meeting or session is cancelled with less than 48 hours' notice, we reserve the right to treat that session as having taken place for billing purposes, unless the cancellation was due to circumstances outside the client's control.

10. Changes to Services or Terms

11. Governing Law

These Terms are governed by the laws of the Kingdom of Thailand. Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand, unless alternative dispute resolution is agreed between the parties.
